Explanation of Responses:
1. The sales reported on this Form 4 represent shares sold by the Reporting Person to cover tax withholding obligations in connection with the vesting and settlement of RSUs. The sales were to satisfy tax withholding obligations to be funded by a "sell-to-cover" transaction and do not represent discretionary transactions by the Reporting Person.
2. The price represents the weighted average price with a low of $4.215 and a high of $4.33. The Reporting Person undertakes to provide G1 Therapeutics, Inc., any security holder of G1 Therapeutics, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.
3. Represents (i) 6,850 shares of common stock; (ii) 37,500 RSUs from award granted on May 22, 2023; (iii) 27,975 RSUs from award granted on January 3, 2024; and (iv) 37,500 RSUs from award granted on March 20, 2024.

constitutes and appoints each of John W. Umstead V, Chief Financial
Officer, of G1 Therapeutics, Inc. (the "Company"), Sandi James,
Director, Legal, of the Company, and Jason McCaffrey, Raven Sun,
Justin Omalev, Charles Smith, Tanya Sylla, and Brenda Meyette of
Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C., signing singly,
with full power of substitution, the undersigned's true and lawful
attorney-in-fact to:
(1)	execute for and on behalf of the undersigned, forms and
authentication documents for EDGAR Filing Access;
(2)	do and perform any and all acts for and on behalf of the
undersigned which may be necessary or desirable to
complete and execute any such forms and authentication
documents;
(3)	execute for and on behalf of the undersigned, in the
undersigned's capacity as an officer, director and/or 10%
shareholder of the Company, Forms 3, 4 and 5 in accordance
with Section 16(a) of the Securities Exchange Act of 1934
and the rules thereunder;
